Catchwind provides tools and services designed to help users access, analyze, organize, and work with information and content.

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You may not:

• Use the Service in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, its systems, or another user’s account.
• Interfere with or disrupt the operation, security, or integrity of the Service.
• Use bots, scrapers, crawlers, or other automated means to access the Service except where expressly permitted by Catchwind.
• Upload or transmit viruses, malware, or other harmful code.
• Impersonate another person or entity.
• Use the Service to infringe upon the rights of another person or entity.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where expressly permitted by applicable law.
• Circumvent usage limits, access controls, or other technical restrictions imposed by the Service.
• Use the Service to develop or provide a competing service where such use is prohibited by applicable law or agreement.

We reserve the right to suspend or terminate access to the Service if we reasonably believe that you have violated these Terms or that your use of the Service creates a security, legal, or operational risk.

Certain features of Catchwind may require you to create an account.

You agree to provide accurate and complete information when creating an account and to keep that information reasonably up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

You agree to notify Catchwind promptly if you believe your account has been compromised or accessed without authorization.

The Service may allow you to submit, upload, transmit, store, or otherwise provide information, text, files, audio, images, or other materials (“User Content”).

You retain ownership of your User Content.

You grant Catchwind a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display your User Content to the extent reasonably necessary to provide, maintain, secure, and improve the Service.

You represent and warrant that:

• You own or otherwise have the necessary rights to provide the User Content to Catchwind.
• Your User Content does not violate applicable law.
• Your User Content does not infringe the intellectual property, privacy, publicity, or other rights of another person or entity.
• You have obtained any permissions or consents necessary for Catchwind to process the User Content as contemplated by these Terms.

Catchwind may remove or restrict access to User Content if we reasonably believe it violates these Terms, applicable law, or the rights of others.

The Service may use artificial intelligence, machine learning, automated analysis, or similar technologies to generate, summarize, classify, transform, or otherwise process information.

AI-generated or automated outputs may be inaccurate, incomplete, outdated, or misleading. You are responsible for independently evaluating outputs before relying on them.

Catchwind does not guarantee that any AI-generated or automated output will be accurate, complete, reliable, or suitable for any particular purpose.

You should not rely solely on outputs from the Service when making decisions involving legal, financial, medical, employment, safety, or other consequential matters.

The Service, including its software, technology, design, interfaces, trademarks, logos, text, graphics, and other materials provided by Catchwind, are owned by or licensed to Catchwind and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, sublicense, reproduce, or create derivative works from the Service or its proprietary content.

Nothing in these Terms transfers ownership of Catchwind's intellectual property to you.

If you provide suggestions, ideas, recommendations, or other feedback regarding the Service (“Feedback”), you grant Catchwind the right to use that Feedback without restriction or compensation to you.

You agree that Catchwind may use Feedback to develop, improve, and commercialize its products and services.

The Service may integrate with or provide access to third-party websites, applications, APIs, data sources, or other services.

Catchwind does not control and is not responsible for third-party services or content. Your use of third-party services may be subject to additional terms and privacy policies provided by those third parties.

Catchwind does not guarantee the availability, accuracy, reliability, or security of third-party services or information.

If Catchwind offers paid products, subscriptions, credits, or other paid features, applicable pricing and billing terms will be disclosed at the time of purchase.

Unless otherwise stated, subscriptions automatically renew for successive billing periods until canceled.

You authorize Catchwind or its payment providers to charge the applicable fees to your selected payment method.

Catchwind may change pricing or subscription plans upon reasonable notice. Changes generally will not affect charges for a billing period that has already been paid.

Unless otherwise stated at the time of purchase or required by applicable law, payments are non-refundable.

You may cancel a subscription using the cancellation method provided through the Service.

Cancellation will generally prevent future charges but will not automatically entitle you to a refund for amounts already paid.

Your use of the Service is also subject to the Catchwind Privacy Policy, which describes how we collect, use, store, and disclose information.

Privacy Policy

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis.

Catchwind makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, or security.

Catchwind does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Information or outputs provided through the Service are for general informational purposes and should not be considered professional, legal, financial, medical, or other specialized advice.

To the maximum extent permitted by law, Catchwind and its officers, directors, employees, affiliates, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses arising from or related to your use of, or inability to use, the Service.

To the maximum extent permitted by law, Catchwind's total liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to Catchwind for the Service during the twelve months preceding the event giving rise to the claim or (b) $100.

Some jurisdictions do not permit certain limitations of liability, so some of these limitations may not apply to you.

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Catchwind and its officers, directors, employees, affiliates, contractors, licensors, and service providers from claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use or misuse of the Service;
• Your violation of these Terms;
• Your User Content;
• Your violation of applicable law; or
• Your violation of the rights of another person or entity.

You may stop using the Service at any time.

Catchwind may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, if necessary to protect the Service or its users, or for other legitimate business reasons.

Upon termination, provisions that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

Catchwind may update these Terms from time to time.

If we make material changes, we may provide notice through the Service, by email, or by other reasonable means.

Your continued use of the Service after revised Terms become effective constitutes your acceptance of the updated Terms.

These Terms will be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-law principles.

Any disputes arising out of or relating to these Terms or the Service will be resolved in the courts located in Davidson County, Tennessee, unless applicable law requires otherwise.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

These Terms, together with any policies or additional terms expressly incorporated by reference, constitute the entire agreement between you and Catchwind concerning your use of the Service and supersede prior agreements concerning the same subject matter.
